GENERAL TERMS AND CONDITIONS OF SALE
1. It has been explicitly agreed that the buyer legally accepts the current general terms and conditions of sale by the sole fact of the ordering and that every clause mentioned in the general terms and conditions of the sale of the buyer and which is contrary to or inconsistent with current general terms and conditions will be regarded as null and void and without any significance. As a consequence, only the current general terms and conditions of sale are applicable, except for a written agreement to the contrary signed by both buyer and vendor.
2 The terms of delivery are notified solely on an indicative basis. A delay in delivery cannot give rise to damages, neither to a cancellation of the order.
3. The vendor is legally released of every liability of case of circumstances beyond his control. The following are considered to be circumstances beyond the vendor's control, without this enumeration being limitative: decision by the government, war, strike, interruption of transportation services, fire, flood.
4. ln order to be valid, a complaint concerning the goods must be formulated by registered mail within eight days of the invoice date. Moreover, goods of which reception was signed for are considered to have been accepted by the buyer. Goods and deliveries can in no way be returned to the vendor without his formal and written agreement. Filling a complaint does not, in any case, entitle the buyer to postpone payment of matured amounts.
5. This invoices are payable in cash, expect for different written agreement between parties.
6. The fact that the vendor omits to apply one clause or another of the current general terms and conditions of sale cannot be interpreted as a renunciation of his right to invoke it afterwards, neither can it endanger the application of the other clauses.
7. Any dispute, regardless of which nature will be brought solely before the courts of the city of Antwerp and will only be governed by Belgian law.
8. The nullity or the non-opposablility of one or a part of the above mentioned clauses does not, in any case, cause the other current general terms and conditions of sale to be void or non-opposable.
9. The total liability of the company as a corporate or an individual is limited and cannot exceed to the price of the product purchased.
10. The delivery time will be 2-3 weeks, however it can be extended due to unforeseeable circumstances and scope out of our control.
